Terms of Service.

1. Who we are and what these Terms cover

These Terms cover tesseral.design, app.tesseral.design and the Tesseral service, including workspaces, AI features, enabled integrations and MCP/API access. “We” means This is Garcy s.r.o.; “you” means the person or organisation using or subscribing to Tesseral. Support, billing, refund and legal requests: loren@garcy.studio.

Both consumers and business customers may subscribe. You must have legal capacity to enter the contract; someone acting for an organisation must have authority to bind it. Mandatory consumer rights apply regardless of anything stated in these Terms. A separately signed agreement takes precedence where it expressly differs.

2. The service and your account

Tesseral brings project files, links and brand knowledge together and uses that context for questions, documents, research, ideas and prompts. Available features and usage limits depend on your plan and the features enabled in your account. An up-to-date browser and internet connection are required. External source permissions, availability and changes can affect imports and updates; we do not guarantee that every source is always current.

Provide accurate account details, protect your credentials and API keys, and tell us promptly about suspected unauthorised access. Workspace administrators manage members and sharing permissions. Invitations do not transfer intellectual-property ownership. Review permissions before inviting clients, sharing projects or connecting agents.

3. Your content and AI outputs

You retain your rights in the files, assets, links, conversations and instructions you provide. You must have the rights and lawful authority to supply and process them, including client permission and a lawful basis for any personal data. You give us a limited licence to host, copy, process, transmit and display that content only to provide, secure and support Tesseral and carry out your instructions, including relevant processing by service providers.

As between you and us, we do not claim ownership of outputs generated for your projects. Rights in outputs remain subject to applicable law and third-party rights. AI outputs may be inaccurate, incomplete, outdated or similar to other outputs. Check facts, sources, rights and suitability before relying on or publishing them. Tesseral does not provide professional legal, medical or financial advice.

Tesseral does not itself use customer files, chats or generated outputs to train general-purpose AI models. Provider processing is described in the Privacy Policy, including Exa’s research-query practices; this is not a blanket guarantee that every external provider excludes all model training. Processing content to answer a question or generate an output is different from training a model. External agents you independently connect are governed by their own providers and your agreements with them.

4. Acceptable use and integrations

Do not use Tesseral unlawfully, infringe privacy or intellectual-property rights, upload malware, bypass access restrictions, access another customer’s data or interfere with the service. Do not supply material you are not entitled to disclose.

Connecting a source or issuing an MCP/API key authorises the enabled access within its permissions. Agents may receive project knowledge through that access. Writing to an external service, such as creating a Notion task, may change that external account. Review the destination and permissions. Revoking access stops future authorised access, but does not automatically erase content already imported or exported; request or perform deletion separately.

5. Plans, payment and renewal

Before purchase, checkout shows the plan, billing interval, price, currency, applicable taxes and total payable. Check and correct your details before placing the order. The subscription contract is formed when we confirm your purchase electronically. Keep that confirmation and these dated Terms. Payments are processed by Stripe. Subscriptions renew for the selected interval until cancelled.

Plan limits and credits govern usage. Credits are service allowances, not money or a transferable stored-value balance. Operations may consume different amounts; message and generation examples are estimates. The allowance and reset schedule are those shown for your purchased plan. We will not retrospectively reduce the paid entitlement described at purchase.

You can cancel future renewal through the billing portal or by emailing support. Ordinary cancellation leaves paid access available until the end of the paid period. Failed payment or expired coverage may restrict paid features. Material price or plan changes will be notified before taking effect on a later renewal, with an opportunity to cancel.

6. Fourteen-day refunds and consumer withdrawal

You may request a full refund within 14 days of your initial subscription purchase, without giving a reason. Email loren@garcy.studio with your account email and purchase date. This guarantee covers consumer and business subscribers. Simply tell us clearly that you wish to cancel and receive a refund; no special form is required.

We will refund the initial subscription payment within 14 days after receiving your request, using the original payment method unless we agree otherwise, without a refund fee. Requesting a refund cancels the subscription. The initial-purchase guarantee does not automatically restart on each renewal, but this does not limit any statutory refund, withdrawal or remedy rights.

Consumers retain their statutory right to withdraw from an eligible distance service contract within 14 days of its conclusion. Starting to use Tesseral does not remove the refund guarantee above. You can use this optional notice: “To This is Garcy s.r.o., Na Usedlosti 1837/10, 147 00 Prague 4, Czech Republic, loren@garcy.studio: I withdraw from my Tesseral subscription concluded on [date]. My name, address and account email are [details]. Date: [date].” Add a signature only if sending on paper. Sending your notice before the deadline is sufficient.

7. Cancellation, exports and deletion

After an ordinarily cancelled subscription’s paid period ends, you have 30 days to export your project data. Contact support during this period if you need export assistance. Paid generation and other paid operations need not remain available during the export period. At the end of the period we delete the cancelled customer’s project data unless you have renewed or a legal obligation requires limited retention.

You can request account deletion by emailing support. We delete your account and the project data you are authorised to delete within 30 days of your request, subject to necessary identity and authority checks. Deleting an individual member account does not entitle that member to erase an organisation’s content. We retain legally required billing records separately.

Copies held by independent recipients, such as an agent you connected or an invited client’s own export, must be addressed with that recipient. Backup handling and any mandatory legal retention are explained in the Privacy Policy.

8. Problems, suspension and your remedies

Contact support if Tesseral does not work as agreed. Consumers keep all applicable rights concerning conformity, necessary updates, correction of defects, price reduction, termination and refunds. Nothing here excludes rights or liability that cannot lawfully be excluded.

Outages, maintenance and third-party failures can occur. We do not promise a particular uptime unless separately agreed. We may proportionately restrict access to address security threats, unlawful use, material breach or unpaid charges, with notice and an opportunity to resolve matters where reasonably possible. Applicable law governs responsibility for loss; these Terms do not impose an automatic liability cap or require you to waive consumer remedies.

9. Law, disputes and changes

Czech law governs these Terms, without depriving consumers of mandatory protections in their country of habitual residence. Applicable law determines court jurisdiction; consumers are not required by these Terms to bring all claims exclusively in Prague.

First contact loren@garcy.studio about a complaint. Consumers may also seek out-of-court resolution through the Czech Trade Inspection Authority (Česká obchodní inspekce), https://coi.gov.cz/en/information-about-adr/. This does not prevent going to court.

We publish dated Terms and give appropriate advance notice of material changes. Where consent is required, we request it. Changes do not retrospectively remove accrued rights. The Privacy Policy explains personal-data processing and is available at https://tesseral.design/privacy.
